You must be at least 21 years old and able to form a binding contract. Access to our products is limited to qualified researchers, laboratory professionals, and organizations engaged in legitimate scientific research. We may request verification of research purpose at any time and may refuse or cancel any order at our sole discretion.

All products are sold strictly as reference materials for in-vitro laboratory research only. By purchasing, you acknowledge and agree that products are sold for research purposes only and not for diagnostic or therapeutic purposes; that no product information constitutes medical advice or dosing guidance; and that you will comply with all applicable laws governing the purchase, possession, handling, and use of research materials. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it current.

All orders are subject to acceptance and product availability. Prices are subject to change without notice. You authorize us to charge your selected payment method for the order total, including applicable shipping and tax. We reserve the right to refuse or cancel any order.

Shipping is governed by our Shipping Policy and returns by our Returns & Refunds Policy, each incorporated into these Terms.

All content on the Site — text, graphics, logos, and images — is owned by Apexbound Labs or its licensors and is protected by applicable laws. You may not reproduce, distribute, or create derivative works without our written permission.

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Misrepresent your identity, affiliation, or research purpose;
• Describe, market, label, or represent any product as suitable for any purpose other than in-vitro research;
• Provide or solicit dosing, administration, or usage instructions in connection with our products;
• Resell or relabel products without our written authorization;
• Interfere with the Site or attempt to gain unauthorized access to any system.

Violation may result in immediate cancellation of orders, account termination, and a permanent ban, at our sole discretion.

You expressly acknowledge that your purchase, possession, handling, storage, and use of any product is at your sole risk. Apexbound Labs sells research chemicals intended solely for in-vitro laboratory use. You voluntarily assume all risks associated with the products, including any risk arising from improper storage, handling, contamination, or any use of a product outside its intended in-vitro research use, and you waive all related claims against Apexbound Labsto the fullest extent permitted by law.

The Site and all products are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except as to the identity and purity stated on each lot's Certificate of Analysis. We do not warrant that products will meet your specific research requirements or produce any particular result.

To the maximum extent permitted by law, Apexbound Labs and its owners, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for personal injury, illness, or death, arising from or related to your purchase or use of products. Our total aggregate liability for any claim shall not exceed the amount you paid for the product giving rise to the claim.

You agree to indemnify and hold harmless Apexbound Labs, its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use, misuse, or handling of products, including any injury or damage resulting from any use of a product outside its intended in-vitro research use; (b) any statements, claims, or representations you make regarding the products; (c) your violation of these Terms; or (d) your violation of any law or third-party right. This obligation survives termination of your account.

Please read carefully — this affects your legal rights. Any dispute arising out of or relating to these Terms or the products shall be resolved by final and binding individual arbitration administered by the American Arbitration Association, seated in Texas. You waive any right to participate in a class, consolidated, or representative proceeding. Either party may bring an individual claim in small-claims court.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

We may modify these Terms at any time; changes are effective on posting. Your continued use of the Site after changes constitutes acceptance.
